Terms of Service

These Terms of Service are a binding contract between Dataflo LLC and the organization that buys or uses Dataflo's products.

Version 1.0 · Last updated October 21, 2026

These Terms of Service (“Agreement”) are a binding contract between Dataflo LLC, a New Mexico limited liability company (“Dataflo”), and the organization that buys or uses Dataflo’s products (“Customer”). They cover every Dataflo product, including Billflo and Govflo.

The Agreement takes effect when the Customer signs an Order Form that references it, places an order through an authorized procurement vehicle, or starts a self-serve subscription (“Effective Date”).

This Agreement governs the relationship between Dataflo and the Customer: fees, service levels, data, liability and indemnity. The End User License Agreement governs how each individual user may use the products. The Privacy Policy explains how Dataflo handles personal information. If documents conflict, the one higher in this list controls, but only to the extent of the conflict:

Part A: Terms for all products

A1. Definitions

  • “AI Output” means content produced by features of the Products that use artificial intelligence or machine learning.
  • “Customer Data” means data, documents and records the Customer or its Users submit to, connect to, or create in the Products, including AI Output. Customer Data excludes Public Data.
  • “Fees” means the amounts payable for the Services as stated in an Order Form.
  • “Government Customer” means a federal, state, tribal or local government entity, agency, department, commission, school district, public university or other instrumentality.
  • “Order Form” means an ordering document that specifies Products, Fees and Subscription Term, including a purchase order, statement of work, or contract issued under a cooperative purchasing agreement, state price agreement, or authorized reseller arrangement.
  • “Products” means Dataflo’s software-as-a-service products, including Billflo (legislative intelligence) and Govflo (public records and open meetings), and any other product named in an Order Form, with their documentation.
  • “Public Data” means legislative, governmental and other publicly available information that Dataflo collects from official and third-party sources and makes available through the Products.
  • “Services” means the Products plus onboarding, implementation, training and support that Dataflo provides under an Order Form.
  • “Subscription Term” means the period during which the Customer may use the Products, as stated in the Order Form.
  • “Usage Data” means aggregated or de-identified data about how the Products are used that does not identify the Customer, any User, any individual or any Customer Data.
  • “Users” means individuals the Customer authorizes to use the Products, such as employees, officials, consultants, contractors and auditors. Each User must accept the End User License Agreement.

A2. Access to the Products

During the Subscription Term, Dataflo grants the Customer a non-exclusive, non-transferable right for its Users to access and use the Products in the Order Form, for the Customer’s internal business or governmental purposes. Where a Product has a public-facing component, such as a Govflo records request portal, the Customer may make that component available to the public as the documentation and Order Form contemplate. Dataflo hosts the Products and does not provide installed copies.

A3. Orders and support

Each Order Form incorporates this Agreement. Where the Customer has several Order Forms, each stands on its own, and ending one does not end the others. Dataflo provides onboarding and support as described in the Order Form and in Section A9.

A4. Fees

  • The Customer pays the Fees in the Order Form, in US dollars, net 30 days from invoice unless the Order Form says otherwise. For Government Customers, payment follows the applicable prompt payment law or procurement vehicle.
  • Fees are based on the capacity stated in the Order Form (“Service Capacity”). Unused capacity does not carry over. Use above capacity is billed at the Order Form rates.
  • Dataflo may change Fees at renewal with at least 60 days’ notice.
  • Late amounts may bear interest at 1.5% per month or the legal maximum, whichever is less, except where prohibited for Government Customers.
  • Fees exclude taxes. The Customer pays applicable taxes unless it provides a valid exemption certificate. Dataflo pays taxes on its own income, property and employees.
  • Non-appropriation. A Government Customer’s obligations beyond its current fiscal year depend on appropriation of funds. If funds are not appropriated, the Government Customer may end the affected Order Form at the end of the last funded period, on written notice and without penalty, and Dataflo will refund prepaid Fees for the unfunded period.

A5. Confidentiality

  • Each party will protect the other’s non-public information (“Confidential Information”) with reasonable care, use it only to perform this Agreement, and share it only with representatives who need to know it and are bound to keep it confidential. Customer Data is the Customer’s Confidential Information.
  • These duties last five years after disclosure, and indefinitely for Customer Data and trade secrets. They do not apply to information that is public through no fault of the receiving party, already known to it, lawfully received from a third party, or independently developed.
  • A party may disclose Confidential Information when law requires, after prompt notice where lawful.
  • Public records. A Government Customer may disclose information as applicable public records or open government law requires. Where the law allows, it will tell Dataflo first so Dataflo can seek any exemption at its own cost.

A6. Term, renewal and termination

  • This Agreement runs while any Order Form is in effect.
  • Renewal. For commercial Customers, each Order Form renews for 12-month periods unless either party gives notice of non-renewal at least 30 days before the term ends. For Government Customers, an Order Form renews only by a new order or as the procurement vehicle and law allow. Otherwise it expires at the end of its term.
  • Termination for cause. Either party may end this Agreement if the other materially breaches it and does not cure within 30 days of written notice, or becomes insolvent or subject to bankruptcy proceedings. If the Customer ends it for Dataflo’s uncured breach, Dataflo refunds prepaid Fees for the remaining term.
  • Data return. The Customer may export its Customer Data at any time during the Subscription Term. On written request made within 30 days after an Order Form ends, Dataflo will provide an export in a standard format. On the Customer’s written request, Dataflo deletes Customer Data within 30 days after the Order Form ends. Backup copies are kept for no more than 30 days. Dataflo keeps other copies only where the law requires.
  • Sections that by their nature should survive, including fees owed, confidentiality, data return, disclaimers, liability limits and indemnity, survive termination.

A7. Customer responsibilities

  • The Customer owns Customer Data and is responsible for its accuracy and for having the rights to submit it.
  • The Customer is responsible for its Users’ compliance with this Agreement and the End User License Agreement, and for keeping credentials secure.
  • The Customer will not, and will not let others: reverse engineer the Products; copy their features or design; resell or provide them to third parties or use them as a service bureau, except as Part B allows; scrape or bulk-extract content or use it to train AI models; publish benchmarks without Dataflo’s consent; or remove proprietary notices.
  • The Customer uses the Products in compliance with law, including records retention, public records, ethics, lobbying, campaign finance and procurement law. The Products are information tools and are not compliance or legal advice.
  • The Customer provides its own equipment and internet access to reach the Products.

A8. Dataflo rights and AI

  • Dataflo owns the Products and all improvements to them, including software, models, designs and Public Data compilations. Feedback may be used freely, but feedback never includes Customer Data.
  • Dataflo may collect and use Usage Data to run, secure and improve its products, and may share it only in aggregate, de-identified form.
  • No training on Customer Data. Dataflo will not use Customer Data, including prompts and AI Output, to train generalized AI models without the Customer’s prior written consent. AI features that process Customer Data run on third-party AI models hosted within Dataflo’s own cloud environment, in US regions only. Customer Data is not shared with model developers, and the hosting provider does not store it or use it to train any model. Billflo may also use third-party AI providers to process publicly available legislative data. No Customer Data is sent to these providers.
  • AI Output. AI Output is probabilistic and may be inaccurate or incomplete. The Customer is responsible for having a qualified person review AI Output before relying on it for any legal, financial, compliance, procurement or official governmental purpose. AI Output is not an official determination unless the Customer adopts it.

A9. Service levels and support

Dataflo will use commercially reasonable efforts to make each Product available 99.5% of each calendar month, excluding scheduled maintenance (normally off-peak, with notice), emergency maintenance, and events outside its reasonable control. The commitment does not cover downtime caused by outages of third-party data sources such as legislative feeds, by the Customer’s equipment or network, by misuse, or by actions taken at the Customer’s request.

Business hours are 8 AM to 6 PM US Mountain Time, Monday to Friday, excluding US federal holidays. Outside business hours, Dataflo responds to P0 issues on a best-effort basis unless the Order Form provides extended coverage.

PriorityDescriptionFirst responseTarget resolution
P0, CriticalProduct unavailable or severely affecting all users1 business hour; best effort outside business hoursContinuous effort during business hours until resolved
P1, HighMajor function impaired for many users4 business hoursWorkaround or fix within 1 business day where possible
P2, MediumImportant feature partly degraded1 business dayNext planned release or patch
P3, LowQuestions, minor or cosmetic issues, requests3 business daysAs appropriate

Dataflo will not materially reduce these service levels during a Customer’s current Subscription Term.

A10. Security and privacy

  • Dataflo maintains administrative, technical and physical safeguards designed to protect Customer Data, and hosts the Products in a US-based cloud environment.
  • On reasonable request, Dataflo provides documentation of its security practices, accessibility conformance (such as a VPAT) and compliance attestations, such as its SOC 2 report.
  • Dataflo will sign a data processing agreement, and any additional data protection, security or records terms required of it by law or by the procurement vehicle for a Government Customer.
  • Dataflo will notify the Customer of a confirmed breach affecting Customer Data without undue delay and within any period the law requires, and will cooperate with the Customer’s response.
  • Dataflo may use affiliates and subcontractors, including engineering personnel outside the United States, subject to this Agreement’s confidentiality terms and any data residency or personnel limits in the Order Form or procurement vehicle. Staff outside the United States access production systems only through secured, logged US-based systems, without downloading Customer Data. Dataflo stays responsible for their work.

A11. Warranties and disclaimers

  • Each party warrants that it has authority to enter into this Agreement. For Government Customers, approvals obtained in the ordinary course of procurement satisfy this.
  • Dataflo warrants that the Products will perform substantially as their documentation describes, and that it will perform onboarding and implementation in a professional manner. If the Products do not meet this warranty, the Customer’s remedy is for Dataflo to correct the non-conformity within a reasonable time. If Dataflo cannot, the Customer may terminate the affected Order Form and receive a refund of prepaid Fees for the remaining term.
  • Dataflo is not a law firm, accounting firm, lobbying firm or political consultancy, and does not provide legal, compliance, tax or lobbying advice. No attorney-client relationship is formed.
  • EXCEPT AS STATED IN THIS SECTION, THE SERVICES ARE PROVIDED “AS IS.” DATAFLO DISCLAIMS ALL OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI OUTPUT OR THIRD-PARTY DATA WILL BE ACCURATE OR COMPLETE.

A12. Limitation of liability

EXCEPT FOR BODILY INJURY, NEITHER PARTY IS LIABLE FOR (A) LOSS OR CORRUPTION OF DATA, INTERRUPTION OF USE, COST OF SUBSTITUTE SERVICES OR LOSS OF BUSINESS; (B) INDIRECT, EXEMPLARY, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES; (C) MATTERS BEYOND ITS REASONABLE CONTROL; OR (D) AMOUNTS THAT, WITH ALL OTHER CLAIMS, EXCEED THE FEES PAID OR PAYABLE UNDER THE AFFECTED ORDER FORM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITS DO NOT APPLY TO BREACH OF CONFIDENTIALITY, FRAUD, GROSS NEGLIGENCE OR WILLFUL MISCONDUCT. NOTHING IN THIS AGREEMENT REQUIRES A GOVERNMENT CUSTOMER TO INDEMNIFY DATAFLO OR LIMITS ITS RIGHTS IN A WAY THE LAW PROHIBITS, INCLUDING ANY TORT CLAIMS ACT OR ANTI-INDEMNITY STATUTE.

A13. Indemnity

  • Dataflo will defend and indemnify the Customer against third-party claims that the Products, used as this Agreement allows, infringe a third party’s US patent, copyright, trademark or trade secret, and against third-party claims arising from Dataflo’s own violation of law in providing the Services.
  • The Customer will defend and indemnify Dataflo against third-party claims arising from Customer Data or from use of the Products in breach of this Agreement. For a Government Customer, this applies only as far as its law and constitution allow, and Dataflo keeps its other remedies.
  • The party seeking indemnity gives prompt notice. The indemnifying party controls the defense but may not settle in a way that imposes obligations on the other without consent. This section is each party’s exclusive remedy for these claims.

A14. General

  • Notices must be in writing and are effective on personal delivery, confirmed email receipt, the day after overnight courier, or receipt of certified mail. Dataflo’s address: 100 Sun Avenue NE, Suite 650, Albuquerque, NM 87109; support@dataflo.ai.
  • Changes. Dataflo may update this Agreement by posting a new version and giving at least 30 days’ notice of material changes. Material changes apply from the Customer’s next renewal unless the Customer agrees in writing to adopt them sooner. A Government Customer’s terms do not change during its current Subscription Term without its written agreement.
  • Assignment. Neither party may assign without the other’s consent, not unreasonably withheld, except to an affiliate or in a merger, sale of substantially all assets, or spin-off.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
  • Publicity. With the Customer’s prior consent, Dataflo may name the Customer and use its logo as a client, subject to agency endorsement policies for Government Customers.
  • Independent contractors. The parties are independent contractors, and this Agreement creates no partnership, agency or employment.
  • Entire agreement and severability. This Agreement, with the Order Forms and the documents it references, is the parties’ whole agreement on its subject. An unenforceable provision is limited to the minimum extent needed and the rest stays in force. Changes to a signed Order Form must be in writing and signed by both parties.
  • Governing law. New Mexico law governs, without regard to conflict of law rules. Disputes go to the state and federal courts in Bernalillo County, New Mexico. For a Government Customer, its own governing law and venue apply where the law requires. Each party waives a jury trial, except where the waiver is unenforceable against a Government Customer. The prevailing party may recover reasonable attorneys’ fees, except where the law prohibits this for a Government Customer.

Part B: Billflo schedule

This schedule applies to Billflo, Dataflo’s legislative intelligence product, and adds to Part A.

B1. Scope

Billflo provides legislative intelligence on the web and on mobile apps, as described in its documentation and the Order Form.

B2. Legislative data

Bill text, status, schedules and video are Public Data from legislatures and other public sources. The official record controls. Late, missing or wrong upstream data, and outages of those sources, are not a breach and are excluded from Section A9.

B3. Transcripts and analysis

Live transcripts, summaries, comparisons, fiscal figures and “arguments for and against” are AI Output under Section A8. They are informational and are not Dataflo’s position on any bill.

B4. Professional-services Customers

Lobbying, government relations, consulting and advocacy firms may use Billflo to prepare work product for their own clients. They may share their analysis, reports and exports with those clients, but may not give clients their own access or resell Billflo data, transcripts or alerts as a feed.

B5. Regulatory compliance

The Customer is responsible for its own compliance with lobbying registration and disclosure, ethics, gift and campaign finance law.

B6. Free and self-serve accounts

Free accounts may have limits on features, sessions, jurisdictions or history. Dataflo may change or end free features at any time, and free accounts carry no service level commitment. Self-serve paid plans are billed as shown at checkout.

B7. SMS alerts

Text alerts require each User’s opt-in under the SMS consent terms. Alerts depend on upstream sources and carriers, and a late or missed alert is not a breach.

Part C: Govflo schedule

This schedule applies to Govflo, Dataflo’s public records and open meetings product, and adds to Part A.

C1. Scope

Govflo provides public records and open meetings management, including a public request portal, as described in its documentation and the Order Form.

C2. Records custodian

The Customer is the records custodian. All decisions to release, withhold, redact, deny, charge for or close a request are made by the Customer’s authorized staff. AI-proposed redactions, exemption suggestions and drafted responses are AI Output under Section A8 and require human review before use.

C3. Deadlines

Deadline calculations follow the rules the Customer configures and are aids, not legal determinations. The Customer remains responsible for compliance with the public records, open meetings and other laws that apply to it.

C4. Connected systems

When the Customer connects a third-party system, Govflo accesses records only within the permissions granted and only to process requests. The Customer authorizes that access.

C5. Regulated data

  • Criminal justice information. Govflo does not support data subject to the CJIS Security Policy, and the Customer will not use Govflo to process it.
  • Health information. Protected health information under HIPAA, and substance use disorder records under 42 CFR Part 2, may be processed only after the parties sign a business associate agreement, including any qualified service organization terms that 42 CFR Part 2 requires.
  • Other regulated data. The Customer will not use Govflo for payment card data or student education records unless the Order Form expressly covers that data type.

C6. Retention

The Customer applies its own retention schedule and legal holds. Deleted content leaves user view at once, and backup copies are kept for no more than 30 days.

C7. Public portal

Requesters who use the portal accept the End User License Agreement at submission. The Customer is responsible for its own notices to requesters, such as what information in a request may become public.
